1. Introduction and Acceptance

Welcome to Gymstr ("Platform", "Service", "we", "us", or "our"), a fitness coaching platform operated by JDL Solutions for Design & Programming W.L.L., a company registered in the State of Qatar.

By downloading, installing, or using the Gymstr mobile application (iOS or Android) or any associated web applications, you ("User", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and JDL Solutions for Design & Programming W.L.L.

2. Definitions

Platform — The Gymstr mobile applications (Trainer App, Client App, Gym App) and web dashboards collectively.
Trainer — A fitness professional who uses Gymstr to manage clients, create workout and nutrition plans, and provide coaching services.
Client — An individual who uses Gymstr to receive coaching, track fitness progress, and communicate with a Trainer.
Gym — A gym facility using Gymstr to manage its trainers and members.
Gym Member — An individual associated with a Gym through the Gymstr platform.
Content — Any data, text, images, videos, plans, exercises, meal entries, messages, or other material submitted to the Platform.
Subscription — A recurring paid plan purchased by Trainers to access premium features of the Platform.

3. Eligibility

3.1 Minimum Age

You must be at least 16 years of age to create an account and use the Platform. By registering, you represent and warrant that you meet this minimum age requirement.

3.2 Capacity

You represent that you have the legal capacity to enter into these Terms. If you are registering on behalf of a business or gym, you represent that you have the authority to bind that entity to these Terms.

3.3 Geographic Restrictions

We do not knowingly offer services in jurisdictions where use of the Platform would be prohibited by applicable law. It is your responsibility to ensure that your use of the Platform complies with laws applicable in your location.

4. Account Registration

4.1 Account Creation

To access most features of the Platform, you must create an account by providing accurate, current, and complete information. You agree to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at [email protected] if you suspect any unauthorized use of your account. We are not liable for any loss or damage resulting from unauthorized access caused by your failure to safeguard your credentials.

4.3 One Account Per User

Each user may only maintain one active personal account. Creating multiple accounts to circumvent suspensions or restrictions is prohibited.

4.4 Account Verification

We may require email verification before granting access to certain features. We reserve the right to verify your identity and the information you provide.

5. User Roles and Responsibilities

5.1 Trainers

Trainers are independent professionals who use the Platform as a tool to deliver coaching services to their clients. You acknowledge that:

Gymstr is a technology platform and is not responsible for the quality, safety, or outcomes of any coaching services you provide.
You are solely responsible for the accuracy and appropriateness of workout and nutrition plans you create and assign to clients.
You must hold any certifications, qualifications, or licenses required by applicable law in your jurisdiction to provide fitness or nutrition coaching.
Gymstr does not employ, endorse, or certify any Trainer.

5.2 Clients

By using the Platform as a Client, you acknowledge that:

All fitness plans, nutrition guidance, and advice accessed through the Platform are provided by independent Trainers, not by Gymstr.
You should consult a licensed medical professional before beginning any new exercise or nutrition programme, particularly if you have any pre-existing health conditions, injuries, or medical concerns.
You participate in any fitness or nutrition programme at your own risk.

5.3 Gyms and Gym Admins

Gyms are responsible for managing their trainers and members within the Platform. Gym Admins must ensure that their use of the Platform and the data of their members complies with all applicable laws.

6. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Upload, post, or transmit any Content that is harmful, offensive, defamatory, obscene, fraudulent, or that infringes any third party's intellectual property rights.
Attempt to gain unauthorized access to any part of the Platform, its servers, or any connected systems.
Use automated scripts, bots, or scraping tools to access or collect data from the Platform.
Interfere with or disrupt the integrity or performance of the Platform.
Use the Platform to send spam or unsolicited commercial communications.
Upload Content containing malware, viruses, or any other malicious code.
Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.
Circumvent any security, subscription, or access control features of the Platform.
Share your account credentials with any third party.

7. Trainer Subscriptions

7.1 Subscription Plans

Trainers may access premium features of the Platform through paid subscription plans (Starter, Pro, and Elite tiers). Each tier offers a different maximum number of clients and feature set. Current pricing and plan details are displayed in the Gymstr Coach App and on the relevant App Store listing.

7.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, as selected). By subscribing, you authorize us (or our payment processors) to charge your payment method on a recurring basis until you cancel.

Subscriptions purchased through the Apple App Store or Google Play Store are subject to those platforms' respective billing terms and conditions, and refunds are handled by Apple or Google, as applicable.

7.3 Trial Period

New Trainers may be eligible for a free trial period, the duration of which will be displayed at sign-up. After the trial period ends, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

7.4 Cancellation

You may cancel your subscription at any time through the App Store or Google Play subscription management settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of a billing period, except where required by applicable law.

7.5 Price Changes

We reserve the right to change subscription pricing. We will provide reasonable notice of any price changes. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

7.6 Suspension of Subscription Benefits

If a payment fails or is disputed, we may suspend access to paid features until the outstanding balance is resolved.

8. Content

8.1 Your Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant JDL Solutions for Design & Programming W.L.L. a non-exclusive, worldwide, royalty-free, sublicensable licence to store, process, display, and use your Content solely to the extent necessary to operate and provide the Platform.

8.2 Content Standards

You are solely responsible for your Content. You represent and warrant that:

You own or have the necessary rights and permissions to submit your Content.
Your Content does not violate any applicable law or infringe any third-party rights.
Progress photos, profile images, and any other media you upload are appropriate and do not contain prohibited material.

8.3 Content Moderation

We reserve the right to review, remove, or disable access to any Content that we determine, at our sole discretion, violates these Terms or is otherwise objectionable.

8.4 Platform Content

Gymstr and its licensors own all rights in the Platform itself, including its design, software, global exercise library, global meal library, and all other Platform-provided content. Nothing in these Terms grants you any rights in Platform Content beyond the limited licence to use the Platform as described herein.

9. Health and Fitness Disclaimer

IMPORTANT: Gymstr is a technology platform, not a healthcare provider.

The Platform does not provide medical advice, diagnosis, or treatment.
Fitness and nutrition information on the Platform is for general informational purposes and is provided by independent Trainers.
Always consult a qualified healthcare professional before starting any new exercise programme or making significant changes to your diet, especially if you have a medical condition, injury, or are pregnant.
You assume all risk associated with your use of fitness and nutrition plans accessed through the Platform.
JDL Solutions for Design & Programming W.L.L. is not liable for any injury, illness, adverse health outcome, or death resulting from use of the Platform or any Content on it.

10. Messaging and Communications

10.1 End-to-End Encryption

Messages between Trainers and Clients on the Platform are end-to-end encrypted. This means that message content is accessible only to the sender and recipient.

10.2 Acceptable Use of Messaging

The messaging feature may only be used for legitimate fitness coaching communications. Using the messaging feature to harass, threaten, solicit, or harm other users is strictly prohibited and may result in immediate account termination.

10.3 Push Notifications

By using the Platform, you consent to receive push notifications related to your use of the Service (e.g., new messages, plan assignments, check-in reminders). You may manage notification preferences through your device settings.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read our Privacy Policy carefully to understand how we collect, use, and protect your information.

12. Third-Party Services

The Platform integrates with third-party services including payment processors, cloud storage providers, and notification services. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party services.

13. Intellectual Property

All trademarks, logos, and service marks displayed on the Platform are the property of JDL Solutions for Design & Programming W.L.L. or their respective owners. You may not use any of our trademarks, logos, or branding without our prior written consent.

14. Termination

14.1 Termination by You

You may delete your account at any time through the Platform settings. Deletion of your account will result in the termination of your access to the Platform.

14.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

You breach these Terms.
We are required to do so by law or court order.
We determine that your use poses a risk to the Platform, other users, or third parties.
Your account has been inactive for an extended period.

14.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and governing law) will survive.

15. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
ANY DEFECTS WILL BE CORRECTED;
THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JDL SOLUTIONS FOR DESIGN & PROGRAMMING W.L.L. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

NOTHING IN THESE TERMS LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW.

17. Indemnification

You agree to indemnify, defend, and hold harmless JDL Solutions for Design & Programming W.L.L. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

Your use of the Platform;
Your Content;
Your violation of these Terms;
Your violation of any applicable law or the rights of any third party.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Qatar, without regard to its conflict of law principles.

18.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or the Platform, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts of the State of Qatar.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, through in-app notification or email. Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and delete your account.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and JDL Solutions for Design & Programming W.L.L. with respect to the Platform and supersede all prior agreements and understandings.
